4. Registration and Payment Terms

The training courses offered on this website are subject to a fee. Payments are processed online by credit card via Stripe, a secure payment partner.

GENERAL TERMS AND CONDITIONS OF SALE — TRAINING COURSES

1. Purpose

These general terms and conditions of sale (T&Cs) govern the contractual relationship between Hectelion SA, hereinafter referred to as "the Organiser", and any individual or legal entity registering for a training course offered by Hectelion SA, hereinafter referred to as "the Participant".

Registration constitutes full and unconditional acceptance of these T&Cs.

2. Training Courses Offered

Hectelion SA offers professional in-person training courses in the field of corporate finance, including business valuation, mergers and acquisitions, financial structuring, financial instruments, and strategy.

Courses may be individual or group-based, aimed at entrepreneurs, executives, investors, and finance professionals.

The programme, venue, date, and fee for each course are specified on the corresponding presentation page on www.hectelion.com.

3. Registration

Registration is completed online via www.hectelion.com and is confirmed upon receipt of full payment of the stated fee.

A confirmation email is sent to the Participant within 48 hours of registration, summarising the practical details of the course.

4. Fees and Payment

Fees are stated in Swiss francs (CHF), inclusive of all applicable taxes. Hectelion SA is not subject to VAT.

Full payment is made online by credit card via Stripe, a secure payment partner, at the time of registration.

No deposit or deferred payment is accepted unless expressly agreed in writing by the Organiser in advance.

5. Cancellation and Refund Policy

Cancellation by the Participant

Any cancellation by the Participant must be notified by email to aristide.ruot@hectelion.com. No refund will be issued. The Participant will be offered a credit note equal to the amount paid, valid for 12 months from the date of cancellation, applicable to any training course offered by Hectelion SA.

Substitution of the Participant by another person is permitted, provided the Organiser is informed at least 48 hours before the start of the course.

Cancellation by the Organiser

Hectelion SA reserves the right to cancel or reschedule a training course in the event of force majeure, insufficient enrolment, or any circumstance beyond its control. The Participant will be informed as soon as possible and may choose between a credit note or a full refund of amounts paid.

6. Right of Withdrawal

Under applicable Swiss law and, for Participants residing in the European Union, under Directive 2011/83/EU, the 14-day right of withdrawal does not apply to training courses with a fixed date where performance begins before the expiry of that period, provided the Participant has expressly consented to this at the time of registration.

7. Funding and Subsidies

Training courses offered by Hectelion SA are not eligible for funding through any public financing scheme. Payment is made directly by the Participant or their company.

8. Intellectual Property

All training materials provided in the context of the courses (presentations, documents, financial models, etc.) remain the exclusive property of Hectelion SA. Reproduction, distribution, or commercial use without prior written authorisation is strictly prohibited.

9. Liability

Hectelion SA undertakes to deploy all necessary means to ensure the proper delivery of its training courses. However, its liability may not be engaged in cases of force majeure, Participant absence, or any circumstance beyond its control.

Training courses delivered by Hectelion SA are informational and educational in nature. They do not constitute personalised legal, tax, or financial advice.

10. Personal Data

Personal data collected at the time of registration is processed in accordance with Hectelion SA's data protection policy, available in the legal notices on www.hectelion.com.

11. Governing Law and Jurisdiction

These T&Cs are governed by Swiss law. Any dispute falls under the exclusive jurisdiction of the courts of the Canton of Vaud (Switzerland), subject to any mandatory provisions applicable to consumers residing in the European Union.

5. Data Protection

Hectelion SA is committed to complying with the Swiss Federal Act on Data Protection (FADP, in force since 1 September 2023) and, where applicable, the European General Data Protection Regulation (GDPR).

Personal data collected (first name, last name, email, phone number, profession, country, etc.) is used exclusively for the management of registrations, invoicing, administrative follow-up, and the communication of information relating to training courses or services offered by Hectelion SA.

Sub-processors and data transfers

In the course of its activities, Hectelion SA engages the following service providers, which may process personal data:

  • Stripe Inc. (United States) — online payment processing. Transfers to the United States are governed by the standard contractual clauses approved by the European Commission.
  • Google LLC (United States) — audience measurement via Google Analytics. Data collected is anonymised and subject to the same contractual safeguards.
  • Infomaniak Network SA (Switzerland) — website hosting.

No personal data is sold or transferred to third parties for commercial purposes.

Data Protection Officer

Hectelion SA has not appointed a Data Protection Officer (DPO), as the size of the company and the nature of its data processing activities do not make this mandatory.
