Acqui-hire
An acqui-hire is a low-valuation exit in which the buyer is mainly after specific assets of the target company, most often its software, its data, or its technical team, rather than its business as a whole.
In this type of deal, it is mainly the remaining founders who benefit financially from the transaction, through a salary and a cash bonus paid during an Earn-out period, conditional on their actually staying with the buyer for a defined time. Other shareholders, by contrast, often receive limited sale proceeds given the low overall valuation used.
This structure creates a specific conflict of interest between founders and other shareholders that a classic exit does not raise: founders benefiting from the retention package have a direct incentive to accept a low valuation if the deferred compensation personally offered to them largely offsets this collective shortfall, a conflict that Business Angel investors and minority shareholders need to anticipate in the shareholders' agreement.
For a founder considering or receiving an acqui-hire offer, clearly distinguishing this structure from a classic exit is essential: the deal's real value to them depends almost entirely on the terms of their own retention and deferred pay, a point any mergers and acquisitions advisory advisor must clarify before accepting terms, as part of the business sale process.
