Arbitral award

An arbitral award is the final, binding decision issued by an arbitral tribunal at the conclusion of an arbitration procedure. It has the same legal force as a court judgment and is enforceable in all signatory states under the New York Convention (1958), covering over 170 countries. In the context of M&A and corporate finance disputes, arbitral awards on valuation matters — earn-out calculations, price adjustment disputes, warranty claims — are increasingly common as cross-border transactions multiply. The quality of the financial expert's evidence and report often has a decisive influence on the tribunal's conclusions.

Example: an ICC arbitral tribunal seated in Geneva issues a final award ordering a Swiss seller to pay CHF 2.1 million to a French acquirer, following a dispute on the fair value of contingent liabilities not disclosed at closing. The award, grounded in part on the independent financial expert's valuation report, is immediately enforceable in both France and Switzerland under the New York Convention.
