Lead investor
The lead investor is the investor who takes the initiative in a financing round: drafting the Term sheet, running due diligence, consolidating feedback from other investors, negotiating terms with the founders, and typically taking a board seat once the deal closes.
This role is described as a primus inter pares among the new investors in the round: its credibility depends directly on the lead's own financial commitment. A lead investor who does not subscribe a meaningful ticket themselves carries, in practice, very little credibility with the following investors they are trying to rally into Co-investment (private equity).
A lead investor's real weight varies sharply by stage: at seed, they may contribute only a minority share of the round while still setting most of the terms, with a SISAT (Swiss Investment Syndicate Agreement Template) formalising coordination with following Business Angel investors; from Series A onward, the lead investor most often subscribes the largest ticket in the round, which justifies the board seat.
For a startup structuring its raise, identifying and negotiating with a credible lead investor often determines whether the round succeeds, an issue covered in our analysis of fundraising advisor fees and role, and a central focus of any financial structuring for a fundraising round.
