Sponsor (private equity sponsor)
In private equity vocabulary, the sponsor is the fund that originates and drives a leveraged acquisition. It structures the Leveraged Buy-Out (LBO), provides the equity, mobilises the debt from lenders and takes control of the Acquisition holding (NewCo) that will hold the target. The term is used in contrast to industrial buyers and to deals without a financial fund.
The sponsor plays an active role throughout the holding period: strategy definition, governance, selection of management, external growth through Build-Up (Add-On Acquisition) and preparation of the exit. Its reputation and track record condition its ability to raise debt on good terms, lenders assessing risk on the quality of the sponsor as much as on that of the target.
Concretely, a sponsor provides 8 MCHF of equity, mobilises 12 MCHF of debt and takes control of a target valued at 20 MCHF, with an exit objective at five years of around 2.5 times its money. Management is offered a package aligned with that value-creation objective.
