ESOP (employee stock ownership plan)

An ESOP (Employee Stock Ownership Plan) is a scheme that associates employees with the capital of their company, by granting them shares or rights to acquire them, often on preferential terms and subject to progressive vesting. It aims to align the teams' interests with long-term value creation and to retain key talent.

In the startup ecosystem, ESOP commonly denotes the envelope of securities reserved for employees, close to the notion of an Option pool set aside in the Cap table. It differs from classic Stock options in its collective character, and from BSPCE (French startup warrant), a tax-advantaged instrument specific to French law and reserved for certain companies. The form retained depends on the national legal framework and the objectives pursued.

For example, a company sets aside 8% of its capital for an employee stock ownership plan, vesting over four years with a first-year cliff. An employee leaving after two years keeps half of their rights, whereas a departure qualified as Bad leaver may entail their total loss.

Setting up an ESOP requires anticipating the dilution of existing shareholders, the treatment of departures under Good leaver and Bad leaver clauses, and the taxation applicable to beneficiaries. Well designed, it becomes a powerful lever of attractiveness; poorly framed, it generates disappointed expectations and conflict, hence the importance of rigorous structuring.
