Advisors to the parties

In any significant M&A transaction, each party retains a team of specialist advisors to guide it through the process: financial advisors (investment banks or boutique advisory firms like Hectelion), legal counsel, tax advisors, and technical experts. The financial advisor typically leads on valuation, deal structuring, process management and negotiation support. The quality and experience of the advisory team is a decisive factor in transaction outcomes: misaligned advisors or gaps in expertise can result in mispriced deals, avoidable legal risks or failed processes.

Example: in the sale of a Swiss engineering group for CHF 35.0 million, the seller retains Hectelion as financial advisor and a Geneva law firm as legal counsel. The buyer fields a team of an M&A bank, a Big Four firm for financial due diligence and a tax boutique. Each party's advisors negotiate specific sections of the SPA, with Hectelion leading on the valuation and price adjustment mechanism.
